Intouch Insight has acquired a U.S. merchandising and branding company in a bid to expand its service offerings in higher-margin businesses.
Ottawa-based Intouch, which specializes in customer survey and data collection software for major retailers and other clients, said Tuesday it has agreed to buy ClearPoint Solutions US for US$250,000 plus conditional payments that will be based on a share of future operating profits in the merchandising business over a four-year period after the deal is finalized.
The transaction is expected to close on July 3.
Intouch president and CEO Cameron Watt said the acquisition is aimed at accelerating the company’s “continued expansion into the merchandising market” as the firm continues to grow its presence south of the border.
“ClearPoint has successfully navigated its formative years and, with the right strategic direction and support, is primed for substantial growth,” Watt said in a news release.
The deal comes as Insight has been pushing to jettison low-margin revenue streams. The firm’s revenues fell 19 per cent year-over-year in the first quarter of 2025 to $6.3 million, but its EBITDA jumped 62 per cent to nearly $560,000 and its net income more than tripled to $213,000 as gross margins improved 11 per cent.
Watt said the acquisition of ClearPoint, which is headquartered in Cumming, Ga., will provide a “new avenue for growth” while giving Intouch access to an “established customer base and a skilled field execution team.”
It’s the Ottawa firm’s first M&A transaction since it acquired Ohio-based Alta360 Research and Ardent Retail Services for US$3.125 million in 2023.
